Setting Up Your Data Room

  • There are heaps to choose from, eg: SecureDocs, Firmex, DocSend and Ansarada (Aussie) which have good access controls. If you are pitching to an Australian angel group that uses Gust.com to manage their dealflow, make it easy for them and house your DD documents in that platform for them. Otherwise you can just use your Google Drive or Dropbox. Just make sure you've checked all the settings and are comfortable with security.
  • Establish a clear, navigable folder structure.
  • Ensure read-only access to protect sensitive data.
  • Consider individual access for each investor for a personalised approach. You should configure access rights appropriately to maintain security and relevance of the information shared.
  • Regularly update contents to keep information current and relevant.

Why Two Data Rooms May Be Beneficial

  • The first room for initial interest, containing strategy documents and pitch decks.
  • The second for serious investors, with sensitive information like legal and HR documents. Perhaps only accessible after a Confidentiality Agreement is signed.

An indexed structure in each room aids in quick document location, enhancing organisation and efficiency.
